These Terms & Conditions govern your access to and use of the InnoPay website, services, payment solutions, payment gateway services, merchant services, related technology, and other services made available by InnoPay.

Welcome to InnoPay. These Terms & Conditions (“Terms”) govern your access to and use of the InnoPay website, services, payment solutions, payment gateway services, merchant services, related technology, and other services made available by InnoPay (collectively, the “Services”). By accessing our website, submitting an inquiry, applying for or using our Services, or entering into an agreement with InnoPay, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, please do not use our website or Services.

About InnoPay

InnoPay provides payment-related technology, payment processing solutions, payment gateway services, merchant services, integrations, and related business support.

Depending upon the particular Services selected, InnoPay may work with independent third-party payment processors, acquiring banks, payment networks, financial institutions, technology providers, gateway providers, and other service providers.

InnoPay may facilitate access to certain Services but may not itself be the bank, acquiring institution, payment network, card association, or other financial institution responsible for a particular transaction.

Your use of certain Services may therefore be subject to additional terms, agreements, underwriting requirements, rules, policies, and procedures imposed by the applicable processor, acquiring bank, financial institution, payment network, gateway provider, or other third party.

Eligibility

You must be legally capable of entering into a binding agreement to use our Services.

If you are using the Services on behalf of a company, organization, or other business entity, you represent and warrant that you have authority to bind that entity to these Terms and any applicable service agreement.

You represent that all information you provide to InnoPay is accurate, complete, and current.

Applications, Onboarding, and Underwriting

Submitting a pre-application, inquiry, consultation request, or other information through the Website does not constitute approval for payment processing services or establish a merchant account.

All applications and prospective merchant relationships are subject to applicable underwriting, verification, risk assessment, and approval requirements.

InnoPay and its applicable service providers may request information or documentation reasonably necessary to evaluate a business and its proposed activities, including:

  • Business identity, ownership, and organizational information.
  • Products, services, business practices, and sales channels.
  • Website, marketing, fulfillment, and refund practices.
  • Transaction volume, average transaction size, and anticipated payment methods.
  • Banking, settlement, and financial information.
  • Licenses, registrations, and other compliance-related documentation.

By submitting this information, you understand this does not guarantee acceptance, any particular processing rate, a specific settlement schedule, or access to a particular processor or payment method.

InnoPay or the applicable provider may decline an application, request additional documentation, impose conditions, or discontinue an onboarding process where permitted by applicable law and the governing agreements.

Accuracy of Information

You agree to provide truthful, accurate, complete, and current information.

You must promptly notify InnoPay of material changes to your business, ownership, products, services, websites, banking information, processing activity, or other information relevant to your account.

Providing inaccurate, misleading, incomplete, or fraudulent information may result in denial, suspension, termination, withholding of funds, or other action permitted under the applicable agreement or law.

Payment Processing

Payment processing services may be provided directly by InnoPay, through third-party providers, or through a combination of InnoPay and third-party providers.

Payment transactions are subject to the applicable rules and requirements of payment networks, card brands, acquiring banks, processors, financial institutions, and other applicable parties.

No payment transaction is guaranteed to be approved or successfully completed.

Transactions may be declined, reversed, delayed, refunded, disputed, charged back, or otherwise adjusted for reasons including fraud prevention, insufficient funds, authorization issues, network rules, account restrictions, processor requirements, regulatory requirements, or other circumstances beyond InnoPay’s control.

Payment Gateway, APIs and Technology Services

Where InnoPay provides gateway technology, APIs, integrations, or related software, access is subject to the applicable service agreement and technical documentation.

Subject to those terms, InnoPay may provide a limited, non-exclusive, non-transferable, revocable right to access and use the applicable technology for authorized business purposes.

Merchants and partners must:

  • Use the technology only for authorized purposes.
  • Maintain the confidentiality of API keys, credentials, and access tokens.
  • Implement reasonable safeguards for systems and integrations under their control.
  • Avoid unauthorized access, reverse engineering, interference, or misuse of the technology.
  • Comply with applicable technical documentation and security requirements.
  • Promptly report suspected unauthorized access or security incidents affecting the service.

InnoPay may update, modify, maintain, or discontinue features and integrations as permitted by the applicable agreement.

Not every processor, payment method, integration, or feature will necessarily be available to every merchant.

Fees and Pricing

Fees, rates, assessments, monthly charges, gateway fees, transaction fees, equipment charges, chargeback fees, and other applicable costs will be disclosed in the applicable merchant agreement, pricing schedule, proposal, order, or other written agreement.

Unless expressly stated otherwise in a written agreement, website descriptions or promotional materials do not modify the pricing or contractual terms applicable to a merchant account.

Although InnoPay strives to provide transparent pricing, third-party costs, network assessments, governmental charges, processor fees, or other applicable costs may change from time to time.

Any pricing representations on the InnoPay website are informational unless expressly incorporated into a written agreement.

You are responsible for understanding the fees and payment obligations that apply to their services before entering into any binding agreement.

Changes to pricing will be governed by the applicable agreement presented during onboarding for merchant signature, and any notice requirements will be imposed by law.

Chargebacks, Returns, Refunds & Disputes

You are responsible for complying with applicable payment network rules, provider requirements, and contractual obligations relating to refunds, returns, disputes, and chargebacks.

You are responsible for responding to chargebacks and transaction disputes relating to your business, and must maintain appropriate transaction records, while provide supporting documentation when reasonably requested.

Depending on the applicable service and agreement, you may be responsible for:

  • Refunds and customer credits.
  • Chargebacks and disputed transactions.
  • ACH returns and reversals.
  • Fraud-related losses and unauthorized transactions.
  • Fees or assessments imposed under the applicable agreement.

InnoPay may provide technology, reporting, or support relating to payment disputes where included in the applicable service.

Unless expressly agreed otherwise, InnoPay does not guarantee the outcome of a dispute or assume responsibility for your underlying sales, fulfillment, refund, or customer service obligations.

Chargebacks, refunds, reversals, fines, assessments, or related costs may be deducted from amounts otherwise payable to you, charged to your account, or otherwise handled as provided in your applicable merchant agreement.

The signed applicable merchant agreement and payment provider rules will govern the handling of these matters.

Reserves, Holds, and Delayed Funds

Depending upon the applicable merchant agreement, risk profile, transaction activity, chargeback exposure, fraud concerns, legal requirements, or requirements of a processor or acquiring institution, funds may be subject to reserves, holds, delayed settlement, rolling reserves, security deposits, or other risk-management measures.

The establishment, modification, or release of a reserve or hold may be governed by the applicable merchant agreement and/or the requirements of a third-party processor or financial institution.

Prohibited or Restricted Activities

You may not use InnoPay Services for unlawful, fraudulent, deceptive, or unauthorized activity.

You also may not use the Services for any business, product, service, transaction, or activity prohibited or restricted by applicable law, payment-network rules, acquiring-bank requirements, processor policies, or InnoPay’s risk and compliance requirements.

Restricted activities may require additional approval, documentation, monitoring, specialized processing arrangements, or may be declined entirely.

InnoPay reserves the right to refuse or discontinue Services when reasonably necessary to comply with applicable law, payment-network requirements, processor requirements, banking requirements, or risk-management policies.

Fraud and Security

You are responsible for maintaining reasonable security procedures appropriate for your business.

You must protect usernames, passwords, API credentials, access credentials, authentication information, and other sensitive information from unauthorized access.

You must promptly notify InnoPay if you suspect unauthorized access, fraudulent transactions, compromised credentials, or other security incidents involving your account.

You may not attempt to bypass security controls, interfere with the Services, gain unauthorized access, introduce malicious software, or otherwise compromise the security or operation of InnoPay systems.

Compliance With Payment Rules

Your use of payment services may be subject to rules established by payment networks, card brands, acquiring institutions, processors, financial institutions, and applicable governmental authorities.

You agree to comply with all rules and requirements applicable to your use of the Services.

Where applicable, merchants are responsible for maintaining compliance with payment-card security requirements and other applicable industry standards.

Refunds and Customer Policies

You are responsible for establishing and clearly communicating your own refund, cancellation, return, delivery, subscription, and customer-service policies.

Your policies must comply with applicable law and payment-network requirements.

InnoPay does not assume responsibility for disputes between you and your customers concerning the underlying goods or services you sell.

Our Role and Third-Party Providers

InnoPay's role may vary depending on the services provided and the contractual arrangement.

InnoPay may act as a technology provider, gateway provider, referral or partnership intermediary, reseller, or another type of service provider, as expressly established by the applicable agreement.

Unless expressly stated in a separate written agreement, InnoPay does not represent that it is a bank, card issuer, acquiring bank, payment network, or the financial institution responsible for approving or settling a merchant's transactions.

Payment processing and related services may involve independent third parties, including:

  • Acquiring banks and financial institutions.
  • Payment processors and payment service providers.
  • Card networks and other payment networks.
  • ACH operators and participating financial institutions.
  • Software vendors, integration partners, and other technology providers.

Each third-party provider may have its own eligibility criteria, underwriting standards, service terms, fees, risk controls, and operating requirements.

Your relationship with any of our third-party providers may be governed by a separate agreement directly between you and that provider.

InnoPay does not control the independent business decisions, policies, or actions of third-party providers and does not guarantee their approval, continued participation, availability, or performance.

Nothing in these Terms is intended to exclude responsibilities that InnoPay expressly accepts under a separate written agreement or that cannot legally be excluded.

Website Content

The content on the InnoPay website is provided for general informational purposes.

We make reasonable efforts to keep website information current and accurate; however, we do not guarantee that all information will always be complete, current, or error-free.

Pricing, product availability, service descriptions, and other information may change without notice unless otherwise required by an applicable agreement.

Intellectual Property

The InnoPay website name, logos, trademarks, service marks, and website, including its content, text, graphics, branding, software, documentation, designs, and other materials, are owned by InnoPay or its licensors, unless otherwise indicated.

Subject to these Terms, InnoPay grants visitors a limited, non-exclusive, non-transferable, revocable right to access and view the Website for lawful informational and business purposes.

No ownership rights are transferred through access to the Website.

You may not reproduce, distribute, modify, publicly display, reverse engineer, or commercially exploit Website content or technology without prior written authorization, except as permitted by law.

All trademarks, service marks, logos, and brand names remain the property of their respective owners.

Partners, ISOs, Referrals, and Resellers

InnoPay may offer referral, ISO, reseller, technology partnership, or other business development opportunities.

The availability and terms of any such relationship are subject to a separate written agreement.

Unless expressly authorized in writing, no partner, referral source, ISO, reseller, or other third party may:

  • Bind InnoPay to a contract or financial obligation.
  • Make representations or warranties on behalf of InnoPay.
  • Guarantee merchant approval, pricing, funding, or processing outcomes.
  • Modify InnoPay's contractual terms or service commitments.
  • Represent itself as an employee, agent, or authorized representative of InnoPay.

Compensation, commissions, residuals, merchant relationships, confidentiality, marketing requirements, compliance responsibilities, and termination rights will be governed by the applicable partner agreement.

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, or agency relationship.

Disclaimer of Warranties and Business Results

InnoPay does not guarantee any particular increase in sales, revenue, customer acquisition, approval rate, transaction volume, profitability, or other business result.

Payment processing and payment technology are dependent upon numerous factors outside InnoPay’s control.

To the maximum extent permitted by applicable law, the website and InnoPay services are provided on an “as is” and “as available” basis.

Except as expressly stated in a written agreement, InnoPay disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or uninterrupted operation.

Nothing in these Terms excludes a warranty or protection that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, InnoPay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the website or its informational content, including loss of profits, revenue, business opportunities, or data, even if advised of the possibility of such damages.

Nothing in these Terms limits liability to the extent such limitation is prohibited by law or excludes any responsibility expressly accepted under a separate written agreement.

The liability provisions of any applicable merchant, technology, or partner agreement will govern the services covered by that agreement.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless InnoPay and its officers, directors, employees, and authorized representatives from third-party claims, damages, liabilities, and reasonable costs, including reasonable attorneys' fees, to the extent arising from:

  • Your material breach of these Terms.
  • Your unlawful use of the Website.
  • Your fraud, willful misconduct, or violation of another party's rights.
  • Your unauthorized use of InnoPay's intellectual property.
  • Your material misrepresentation of your identity, business, or authority.

This indemnification does not apply to the extent a claim results from InnoPay's own conduct for which indemnification is prohibited by law or is expressly excluded under a separate written agreement.

The applicable agreement will govern any additional indemnification obligations relating to merchant services, processing activities, or partner relationships.

Suspension and Termination

InnoPay may suspend or terminate access to the website or Services when reasonably necessary, including where:

  • You violate these Terms;
  • You violate an applicable merchant or service agreement;
  • Your activity presents a security, fraud, financial, legal, regulatory, or reputational risk;
  • You provide materially inaccurate information;
  • Required information or documentation is not provided;
  • A processor, acquiring institution, payment network, or financial institution requires suspension or termination; or
  • Suspension or termination is otherwise permitted by applicable law or agreement.

Termination does not eliminate obligations that accrued before termination.

Access to specific payment services may be suspended or terminated by InnoPay or the applicable third-party provider in accordance with the governing agreement.

Depending on the circumstances, suspension or termination may occur with or without advance notice where permitted by law and the applicable agreement.

Suspension or termination of Website access does not automatically terminate a separate merchant, gateway, technology, or partner agreement.

Any outstanding payment obligations, recordkeeping duties, confidentiality obligations, dispute procedures, and other provisions intended to survive termination will remain subject to the applicable agreement and law.

Electronic Communications

By communicating electronically with InnoPay, you consent to receiving communications electronically where permitted by law.

You agree that electronic communications, notices, disclosures, agreements, and records may satisfy legal requirements for written communications where permitted by applicable law.

Changes to These Terms

We may update these Terms periodically, with the most recent revision date noted at the top of these Terms,

Updated Terms will be posted on the website with a revised “Last Updated” date.

Your continued use of the website or Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

If an applicable written agreement contains different terms, that agreement will control over these website Terms to the extent of any conflict.

Governing Law

These Terms will be governed by the laws of United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute arising from or relating to these Terms or the Website will be resolved in this state, as subject to applicable law.

Before initiating formal proceedings, the parties are encouraged to attempt to resolve disputes through good-faith communication.

Any binding arbitration requirement, class-action waiver, jury-trial waiver, or other dispute-resolution provision should be included only after legal review and should clearly state the rights and procedures applicable to the parties.

This section does not override the dispute-resolution provisions of a separate written agreement governing merchant, technology, or partner services.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by law.

General Provisions and Summary

Entire Agreement

These Terms govern the Website and its general informational use. They do not replace or supersede a separate written agreement governing specific services or commercial relationships.

Order of Precedence

If these Terms conflict with a separate signed agreement, the separate agreement will control with respect to the services and subject matter it expressly governs, to the extent permitted by law.

Severability

If any provision is found to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

No Waiver

Failure to enforce a provision does not constitute a waiver of the right to enforce it later.

Assignment

You may not assign your rights or obligations under these Terms without InnoPay's prior written consent, except where assignment is permitted by law. InnoPay may assign these Terms as permitted by law, including in connection with a merger, reorganization, or transfer of relevant business assets.

Force Majeure

To the extent permitted by law, InnoPay will not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, widespread outages, government actions, labor disruptions, or failures of third-party infrastructure.

No Third-Party Beneficiaries

These Terms do not create rights for third parties except where expressly stated or required by law.

Electronic Communications

You agree that communications relating to Website inquiries may be provided electronically where permitted by law. Any electronic signature or electronic contracting process for separate services will be governed by the applicable agreement and law.
